Introduction
Thank you for using Nexr. These Terms of Service apply to your use of Nexr Verified Profiles, Nexr's verification features, and Nexr's other technical verification services for individuals, along with any associated software applications and websites (collectively, "Services"). These Terms form a legally binding agreement between you and Eureses Inc., the company behind Nexr. By using our Services, you agree to these Terms.
Our Privacy Policy explains how we collect and use personal information. Although it does not form part of these Terms, it is an important document that you should read.
Who We Are
Nexr is a professional identity and technical verification company. Our mission is to ensure that professional attribution and technical authorship are transparent, verified, and cryptographically secure for the global engineering community.
Registration and Access
Minimum Age. You must be at least 13 years old or the minimum age required in your country to consent to use the Services. If you are under 18, you must have your parent or legal guardian's permission to use the Services.
Registration. You must provide accurate and complete information to register for an account. You may not share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your account. If you create an account on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.
Using Our Services
What you can do. Subject to your compliance with these Terms, you may access and use our Services. You must comply with all applicable laws as well as any documentation, guidelines, or policies we make available to you.
What you cannot do. You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:
- Infringe, misappropriate, or violate anyone's intellectual property rights.
- Modify, copy, sell, or distribute any of our Services without authorization.
- Attempt to reverse-engineer, decompile, or discover the source code or underlying verification logic of the Services.
- Programmatically extract identity scores or verification metadata (scraping).
- Misrepresent professional history or forge technical proofs.
- Interfere with or disrupt our Services, including bypassing rate limits or security mitigations.
Corporate domains. If you create an account using an email address owned by an organization, such as your employer, your account may be added to the organization's business account. In such cases, the organization's administrator may be able to control your account, including access to verification data.
Content and Proofs
Your Content. You may provide input to the Services ("Input"), such as repository metadata and build logs, and receive verification outputs ("Output"or "Technical Proofs"). Input and Output are collectively "Content". You are responsible for ensuring that Content does not violate any applicable law or these Terms.
Ownership of Content. As between you and Nexr, and to the extent permitted by applicable law, you retain your ownership rights in Input and own the resulting Technical Proofs. We assign to you all of our right, title, and interest, if any, in and to Output.
How We Use Your Content
We may use Content to provide, maintain, develop, and improve our Services, comply with applicable law, and keep our Services safe.
Service Improvement. When you use unpaid Services, Nexr may use the technical proofs and metadata you submit to improve our verification technologies and product experience. You can opt out of this use by adjusting your profile settings. Please note that opting out may limit the Service's ability to verify complex builds specific to your environment.
Human Review. To help with quality and improve the Services, human reviewers may occasionally audit anonymized metadata. Nexr takes strict steps to protect your privacy as part of this process.
Accuracy and Verification
Technical verification is a rapidly evolving field. While Nexr strives for accuracy in attribution, some situations may result in Output that does not perfectly reflect professional history.
- Verification Output should not be used as the sole substitute for professional due diligence.
- You must evaluate Output for accuracy for your specific use case.
- Our Services may provide incomplete or incorrect metadata if the underlying source systems are improperly configured.
Brand Protection and Trademarks
The Nexr name, the Nexr logo, and the technical verification marks are trademarks of Eureses Inc. and may not be used without prior written permission.
Usage Restrictions. To protect the integrity of the product and brand, you may not:
- Register domain names, social media handles, or business names that include "Nexr" or are confusingly similar to our marks.
- Use Nexr brand assets in a way that implies an official partnership, endorsement, or affiliation where none exists.
- Modify Nexr logos or incorporate them into other branding systems without permission.
- Use our marks to promote services that compete with Nexr in a misleading or unauthorized way.
Respecting Other Brands. You may not impersonate another organization or use third-party marks in a way that is likely to cause confusion about the origin of a project or certification.
Paid Accounts
Individual Verified Profiles are free of charge. Institutional features are "Paid Services".
Billing. If you purchase any Services, you will provide complete and accurate billing information. For subscriptions, we will automatically charge your payment method on each agreed renewal period until you cancel.
Cancellation. You can cancel your paid subscription at any time. Payments are non-refundable except where required by law.
Termination and Suspension
We reserve the right to suspend or terminate your access or delete your account if:
- You breached these Terms or our usage policies.
- We must do so to comply with the law.
- Your use could cause risk or harm to Nexr, our users, or anyone else.
Appeals. If you believe we suspended or terminated your account in error, you can contact Support to appeal.
Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS." EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE.
Limitation of Liability
NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE IN THE LAST 12 MONTHS OR ONE HUNDRED DOLLARS ($100).
Indemnification
If you are a business or organization, to the extent permitted by law, you will indemnify and hold harmless Nexr, our affiliates, and our personnel from and against any costs, losses, or liabilities arising out of your use of the Services and Content or any violation of these Terms.
Dispute Resolution
Mandatory arbitration. You and Nexr agree to resolve any claims arising out of or relating to these Terms or our Services through final and binding arbitration. You may opt out of arbitration within 30 days of account creation where applicable by law.
Informal dispute resolution. Before filing a formal claim, both parties agree to try to resolve the dispute informally. If we are unable to resolve a dispute within 60 days, either party may initiate arbitration or another lawful forum where arbitration is not enforceable.
